1. Scope and acceptance
1.1 These Website Terms of Use (“Terms”) govern your access to and use of the Kaliris website, including all pages, content, documents and digital services made available through it (the “Website”).
1.2 By accessing the Website you accept these Terms. If you do not accept them, please refrain from using the Website.
2. Relationship with our other documents
2.1 These Terms apply to the Website itself. They do not replace the contractual terms that govern our products and services, nor the following two documents:
General Terms & Conditions (GTC) — govern the sale of gemstones and jewellery, bespoke commissions, sourcing, and the related services we provide or facilitate. Available at https://kaliris.swiss/tcs/.
Privacy Policy — explains how we process personal data when you use the Website or engage with us, and describes the cookies and similar technologies used on the Website. Available at https://kaliris.swiss/privacy-policy/. Cookie preferences can be managed at any time through the Privacy Centre.
2.2 In case of conflict, the document specifically applicable to the relationship in question prevails: the GTC for transactions, the Privacy Policy for the processing of personal data.
3. Informational nature of the content
3.1 The Website is provided for general information and presentation. Nothing on it constitutes legal, tax, investment, financial or other professional advice, nor a recommendation to buy, hold or sell any asset.
3.2 Gemstones and jewellery are specialised goods. Any reference to rarity, market context, historical results or indicative values is provided without guarantee, and reflects only our best knowledge of market conditions and of the attributes of a specific item at that point in time.
4. No binding offer
4.1 Unless expressly stated otherwise, information displayed on the Website does not constitute a binding offer. Availability, pricing and specifications may change without notice.
4.2 An enquiry, a request or a meeting arranged through the Website does not create a contractual relationship. A contract is concluded only once we have presented a detailed written offer, you have accepted that offer in writing, and we have reconfirmed your acceptance and issued our invoice, in accordance with the GTC.
5. Accuracy and availability of information
5.1 We present information carefully and in good faith. The Website may nevertheless contain errors, omissions or outdated information.
5.2 Images and renderings are illustrative. Colour and appearance may differ due to lighting, display settings and the natural characteristics of the materials shown.
5.3 Measurements, weights and descriptions may be approximate unless expressly confirmed in writing.
5.4 Third-party certificates and reports reflect the issuing laboratory’s assessment at the date of examination.
5.5 We do not guarantee that the Website will be available without interruption or free of error, and we may modify, suspend or discontinue any part of it.
5.6 If you notice an inaccuracy, please inform us. We will assess it and, where appropriate, correct the content.
6. Intellectual property
6.1 All content on the Website — including text, photographs, video, graphics, designs, trade marks, logos and downloadable materials — is protected by intellectual property rights and belongs to Kaliris AG and/or its licensors, unless stated otherwise.
6.2 You may view and print pages for your personal, non-commercial use. Any other use — including copying, scraping, framing, republication, distribution or modification — requires our prior written consent.
6.3 Reservation of rights for text and data mining. Kaliris AG expressly reserves all rights in the content of this Website against text and data mining, within the meaning of Article 4(3) of Directive (EU) 2019/790 and any equivalent provision under other applicable law. No content of this Website may be extracted, reproduced or used for the development, training, fine-tuning, evaluation or grounding of artificial intelligence or machine-learning systems, or for the creation of derived datasets, without our prior express written consent.
7. Acceptable use
7.1 You agree not to misuse the Website. In particular, you must not:
(a) attempt to gain unauthorised access to the Website, its systems or its data;
(b) circumvent security measures or interfere with the operation of the Website;
(c) use automated tools, including bots, crawlers and scrapers, except where permitted by law and by our robots.txt and subject to Clause 6.3;
(d) upload or transmit malicious code or content;
(e) use the Website for unlawful purposes or to infringe the rights of third parties.
7.2 We may restrict or block access where necessary to protect the security, integrity or availability of the Website, or the rights of any person.
8. Communications and submissions
8.1 If you contact us through the Website, by form or by email, we will process your message in order to respond and to maintain appropriate records, as described in our Privacy Policy.
8.2 Please do not send sensitive information through unencrypted channels unless we have asked you to. Where appropriate we can provide a secure channel for exchanging sensitive documents.
8.3 Unsolicited proposals and ideas. If you send us concepts, designs or proposals without a prior agreement, you acknowledge that we may already be working on similar ideas and that no compensation is due unless expressly agreed in writing. This does not affect any confidentiality obligation agreed separately.
8.4 Security reports. If you believe you have identified a security vulnerability in the Website, please write to info@kaliris.swiss and do not disclose it to third parties.
9. Third-party services and links
9.1 The Website may reference or link to third-party websites, platforms and services, including social networks and embedded tools. Those third parties operate independently and are responsible for their own content, availability and data practices.
9.2 Links are provided for convenience and do not imply endorsement. Use of third-party services is at your own risk and is subject to the third party’s own terms and policies.
10. Liability
10.1 To the extent permitted by applicable law, we exclude liability for damage arising out of or in connection with your use of the Website, including interruptions, delays, viruses, loss of data, and the reliability of information published on the Website.
10.2 Nothing in these Terms limits liability where such limitation is not permitted by mandatory law — in particular for wilful misconduct or gross negligence under Swiss law, or for death or personal injury.
11. Indemnity
11.1 To the extent permitted by applicable law, if you breach these Terms or misuse the Website, you will indemnify and hold Kaliris AG harmless against claims, losses, liabilities and reasonable costs, including reasonable legal fees, arising from that breach or misuse.
12. Governing law and jurisdiction
12.1 These Terms are governed by Swiss law, excluding its conflict-of-law provisions and, to the extent permitted, the United Nations Convention on Contracts for the International Sale of Goods (CISG).
12.2 The courts at the registered seat of Kaliris AG in Sarnen (OW), Switzerland, have jurisdiction over disputes arising out of or in connection with these Terms.
12.3 Where you act as a consumer, Clause 12.2 does not restrict any mandatory forum available to you. The choice of Swiss law does not deprive you of the protection of mandatory provisions of the law of your country of habitual residence.
13. Changes to these Terms
13.1 We may update these Terms from time to time. The version published on the Website is the version currently applicable. Changes take effect on publication unless stated otherwise.
14. Language
14.1 These Terms are published in English and in German. In case of discrepancy between the versions, the English version prevails, unless mandatory law requires otherwise.
